Abstract
The topic of the study was Internal Audit and Corporate governance. A case study of Dyer and Blair Investment bank (Uganda) Limited .the problem of the study in Dyer and Blair has come a long way. Having been founded in the year 1954 as a partnership of stockbrokers. The bank has with it over 50 years of experience. In 2003. Dyer and Blair was licensed by the Capital Market Authority to operate as an Investment Currently the bank is the transaction advisor to the Uganda Clay Rights issue. And the Transaction Advisor and Lead Broker to the NVL Rights issue. The purpose of the study was to find out the relationship that exists between internal audit and corporate governance. The objectives or the study was: to establish the elements of internal audit in a corporation. To find out the challenges faced by internal auditors in carrying out internal audit. 10 explore some of the internal corporate governance control and to find out the relationship between internal audit and corporate governance. The research used both descriptive and analytical research design. The findings of the study indicated the following: Internal audit function was present in Dyer and Blair investment Bank Uganda Limited the major role or internal audit function is to prevent detect errors and fraud Internal audit reports are made for the management to base their decisions on External auditors measures the effectiveness of internal audit function Management or Dyer and Blair investment Bank Uganda Limited gives internal audit function i1s due independence The challenge faced by internal auditors in carrying out audit work is professionalizing the internal audit function.
