    An examination of the Legal Frame Work Regulating the Incorporation of a Single Member Company in Uganda.

    This research examines the legal framework regulating the incorporation of a single member company in Uganda. The study investigates the corporate governance principles under single member companies includes the scope and nature of corporate governance, interpretation or the doctrine or corporate governance. The corporate governance for single member companies including the separation of ownership and control under single member companies. It further discusses the rolls of corporate finance and basics. Chapter four discusses the scope and nature or winding up. reconstruction ::ind amalgamation of a single member company, alternative remedies to winding up and distribution of the company assets. Conclusively in Uganda the nation is lir111ly entrenched that differentiation between the one person companies and the cr private companies is called for. It is clear that the Ugandan experience of the d11e person company dichotomy has to a greater extent been very positive. The favorable and anthusiastic reaction or entrepreneurs exceeded the expectations of even the initiators or the Act. It has given a considerable and very necessary impetus to the small business sector in particular
