Abstract
The aim of the study was to investigate whether minority shareholders in private companies are accorded the protection they deserve in the day to day running of the company affairs. The specific objectives of the study were to;
a. To identify the role of shareholders in a private company.
b. To evaluate the relationship between the majority and minority shareholders in a Private
Company
c. To establish the importance of protection of minority shareholders in a private company
d. To identify the steps that can be taken to improve the protection of minority shareholders in
Private companies
The study covered the concern of protection of minority shareholders in private companies in
Kenya and Uganda, chapter one included the introduction, background of the study statement of the problem, objectives of the study, research questions, significance and scope of’ the study. The methodology and literature reviews. Chapter two featured the statutory measures put in place to ensure that minority shareholders are afforded full protection
